TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of FluxEDA software and related services provided by Phi₀ Quantum Technologies A.S. ("Phi₀," "we," "us," or "our"). By installing, activating, or using FluxEDA, you agree to these Terms.

TABLE OF CONTENTS


1. DEFINITIONS

  • "FluxEDA" means the FluxEDA schematic capture and simulation software, including all updates and documentation.
  • "License Key" means the unique key provided to you for activating FluxEDA.
  • "Machine" means a single physical or virtual computer on which FluxEDA is installed.
  • "You" or "User" means the individual or entity that has obtained a license to use FluxEDA.

2. LICENSE GRANT

2.1 Scope

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use FluxEDA on the number of machines specified by your license type.

2.2 License Types

  • Node-Locked License: Permits use on one specific machine. The license is bound to a machine identifier generated during activation.
  • Beta License: A time-limited license for evaluation purposes, provided free of charge. Beta licenses may expire or be revoked at our discretion.

2.3 License Activation

FluxEDA requires internet connectivity for initial activation and periodic license verification. During activation, FluxEDA transmits your license key, a one-way machine identifier, operating system, and software version to our license server. See our Privacy Policy for details on data handling.

3. RESTRICTIONS

You may NOT:
  • Copy, modify, or distribute FluxEDA except as expressly permitted
  • Reverse engineer, decompile, or disassemble FluxEDA
  • Remove or alter any proprietary notices, labels, or marks
  • Share, transfer, sublicense, or resell your license key to any third party
  • Circumvent or attempt to circumvent any license verification mechanism
  • Use FluxEDA for any purpose that violates applicable law

4. YOUR DESIGNS AND DATA

4.1 Ownership

You own all designs, schematics, netlists, simulation results, and other content you create with FluxEDA. We claim no rights to your work product. Your design files are stored locally on your machine and are never transmitted to our servers.

4.2 No Access

We have no ability to access, view, or recover your design files. You are solely responsible for backing up your work.

5. UPDATES

FluxEDA may check for available updates at startup. Updates are optional. We may release updates that include bug fixes, new features, or security patches. We are not obligated to provide updates, but we strive to improve FluxEDA continuously.

6. BETA SOFTWARE

If you are using a beta version of FluxEDA:
  • The software is provided for evaluation and testing purposes
  • It may contain bugs, errors, or incomplete features
  • Your beta license may expire or be revoked without notice
  • We appreciate bug reports and feedback at info@phi0.com

7. PAYMENT AND REFUNDS

7.1 Fees

License fees are communicated to you directly during the purchasing process. All fees exclude applicable taxes unless otherwise stated.

7.2 Refunds

If you are unsatisfied with FluxEDA, you may request a refund within 30 days of purchase. Refund requests should be sent to info@phi0.com. Upon refund, your license will be deactivated.

8. INTELLECTUAL PROPERTY

FluxEDA, including its source code, algorithms, user interface, documentation, and all related materials, is the intellectual property of Phi₀ Quantum Technologies. These Terms do not transfer any ownership rights to you. All rights not expressly granted are reserved.

9. DISCLAIMER OF WARRANTIES

FLUXEDA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that FluxEDA will be error-free, uninterrupted, or meet your specific requirements. Superconducting circuit design is a specialized field; you are responsible for verifying all simulation results and designs independently.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHI₀ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE FLUXEDA.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR FLUXEDA LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. TERMINATION

11.1 By You

You may stop using FluxEDA and deactivate your license at any time through the application's license management dialog.

11.2 By Us

We may terminate or suspend your license if you violate these Terms. In case of termination for breach, no refund will be provided.

11.3 Effect of Termination

Upon termination, your right to use FluxEDA ceases. Your design files remain on your machine and are not affected by license termination. We will delete your personal data according to our Privacy Policy retention schedule, or sooner upon your request.

12. EXPORT COMPLIANCE

FluxEDA is an electronic design automation tool. You are responsible for complying with all applicable export control laws and regulations in your jurisdiction. You may not use FluxEDA in any country subject to comprehensive sanctions or for any prohibited end-use.

13. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use of FluxEDA after the effective date constitutes acceptance of the updated Terms.

14. GOVERNING LAW

These Terms are governed by the laws of the Republic of Türkiye. Any disputes shall be resolved in the courts of Ankara, Türkiye. Nothing in these Terms limits your statutory rights under applicable consumer protection laws in your jurisdiction.

15. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Phi₀ regarding FluxEDA.
